Abstract

1 Whistleblowing Abstract The thesis deals with the constantly increasing issue of Whistleblowing problematics. Adoption of the Directive on the protection of persons who report breaches of Union law imposes an obligation to the EU Member States to transpose the Directive by 17 December 2021. By the date of finalization of this thesis, the Czech Republic has not complied with this obligation yet and is therefore in a delay for more than one year. The forthcoming Whistleblower Protection Act which would implement the Directive into the Czech law has already passed its first reading in the Chamber of Deputies and is very likely to be adopted soon. The aim of this thesis is to introduce the concept of whistleblowing and its development. It also describes what the introduction of an internal whistleblowing system into internal processes entails, how the regulations govern whistleblowing-related institutes across the Czech law, but also to analyze the current draft of the Whistleblower Protection Act in detail and to present prior legislate attempts. The first chapter is dedicated to the concept and development of whistleblowing in the world and in the Czech Republic. Whistleblowing Abstrakt Diplomová práce se zabývá stále aktuálnější problematikou whistleblowingu. Přijetím Směrnice o ochraně osob, které oznamují porušení práva Unie, vznikla členským státům EU povinnost provést transpozici do 17. prosince 2021. Česká republika tuto povinnost prozatím nesplnila a je tedy více než rok v prodlení. Připravovaný návrh zákona o ochraně oznamovatelů, který by Směrnici promítnul do právního řádu, již prošel prvním čtením v Poslanecké sněmovně a je velice pravděpodobné, že dojde k jeho schválení. Cílem této práce je představit whistleblowing a jeho vývoj, ale také popsat, co zavedení oznamovacího systému do interních procesů obnáší, jak předpisy upravují instituty související s whistleblowingem napříč právním řádem a podrobně rozebrat aktuální návrh zákona o ochraně oznamovatelů, ale představit i dřívější legislativní pokusy. První kapitola popisuje whistleblowing a jeho vývoj ve světě i v České republice. Nastíněn je zde význam pojmu whistleblowing a jeho propojení s interním compliance. Co se týče vývoje whistleblowingu, je v kapitole vysvětlen princip tzv. qui tam žalob a jeho následné promítnutí do zákonodárství. Pozornost je věnována i českému vývoji, a to především Pracovní skupině WP 29. Další část práce se věnuje whistleblowingu v podnikové praxi, možnostem jeho zavádění...
