Vědní obor: Právo Instituce: Univerzita Karlova 1. Disertační práce se ve dvou částech zabývá distribuční smlouvou z praktického a teoretického pohledu. Vysvětlení pojmu distribuční smlouvy je nezbytným předpokladem pro pochopení postavení tohoto institutu v mezinárodním obchodním právu. 2. První část práce je založena na definování pojmu distribuční smlouvy, právní úpravy jednotlivých států EU, komparaci a franchisingové smlouvě, se kterou je distribuční smlouva srovnávána. Je rozdělena na podčásti o distribuční smlouvě (A), franchisingové smlouvě (B) a komparaci distribuční a franchisingové smlouvy (C). 3. Podčást o distribuční smlouvě zkoumá právní úpravu distribuční smlouvy dle práva České republiky, EU se zaměřením na čl. 4 Nařízení Řím I, zkoumá pravidla rozhodná pro aplikaci kolizní normy - metodou přímou. Následuje rozbor distribuční smlouvy jako dvoustranného či vícestranného právního vztahu. Jsou zkoumány účinky distribuční smlouvy vůči jejím stranám a třetím osobám s uvedením na konkrétních rozhodnutích a příkladech. V této části jsou uvedeny typy distribuční smlouvy. 1.
